These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "user") and Wherevi ("we," "us," or "our") governing your access to and use of the Wherevi website, mobile applications, and all related services (collectively, the "Platform").
By accessing or using Wherevi, creating an account, or submitting any content, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, Community Guidelines, and Editorial Policy, which are incorporated into these Terms by reference.
If you do not agree to any part of these Terms, you must immediately discontinue use of the Platform. Your continued use of Wherevi constitutes ongoing acceptance of these Terms and any future modifications.

You retain ownership of all content you create and submit to Wherevi, including reviews, ratings, photos, posts, comments, and other materials ("User Content"). You are solely responsible for the accuracy, legality, and appropriateness of your User Content.
By submitting User Content to Wherevi, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and create derivative works from your User Content in connection with operating, promoting, and improving the Platform. This license continues even if you stop using the Platform or delete your account, but only with respect to content that has already been shared publicly or incorporated into the Platform's collective content.

The Platform, including its design, layout, functionality, source code, graphics, logos, icons, text, images, software, and all other proprietary elements (collectively, "Wherevi Content"), is owned by or licensed to Wherevi and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
The Wherevi name, logo, and all related brand elements are trademarks of Wherevi. You may not use, reproduce, or display any Wherevi trademarks without our prior written consent. Nothing in these Terms grants you any right, title, or interest in the Wherevi brand or any of its proprietary marks.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial purposes. This license does not include the right to:

Wherevi does not endorse, verify, or guarantee the accuracy of any User Content, including reviews, ratings, photos, and place-related information. User Content represents the personal opinions and experiences of individual users and does not reflect the views of Wherevi. You rely on such content at your own risk.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WHEREVI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
IN NO EVENT SHALL WHEREVI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE AMOUNT YOU PAID TO WHEREVI, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
You may terminate your account at any time by contacting us at contact@wherevi.com with a request to delete your account. Upon termination, your account will be deactivated, and your personal information will be handled in accordance with our Privacy Policy.
We may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice, if we believe that:
Upon termination of your account, your right to access and use the Platform ceases immediately. Any provisions of these Terms that by their nature should survive termination shall continue to apply, including but not limited to: ownership provisions, warranty disclaimers, limitations of liability, and dispute resolution provisions.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision shall be effective only if made in writing and signed by Wherevi.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Wherevi may assign its rights and obligations under these Terms without restriction.
